These Platform Terms (“Terms”) govern your access to and use of the Navalapp platform — including our websites, applications, courses, memberships, community features, and related services (collectively, the “Services”). “Navalapp,” “we,” “us,” and “our” mean Blueheading Oy.
By creating an account, clicking “I agree,” or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Services.
In short:
- You must be 18+ to hold an account and are responsible for it. If you are under 18, you may use the Services only with the involvement and consent of a parent or guardian who holds the account and is responsible for it.
- Use the platform lawfully and follow our Acceptable Use Policy.
- Learners receive a personal, non-commercial license to access purchased content, but may use the knowledge and skills they gain in their professional activities.
- Course materials may not be copied, redistributed, commercialized, or used to train AI or create competing products unless expressly permitted.
- Instructors are subject to a separate Instructor Agreement; instructors and other creators may grant Navalapp rights to publish, distribute, display, and promote submitted content through the platform.
- We may update features; we’ll act reasonably and give notice when required.
- Refunds and billing follow Section Fees, Billing & Refunds; cancel before renewal to avoid new charges.
- We limit liability as permitted by law; Finnish law and Helsinki courts apply.
Accounts & Eligibility
Account. You must create an account with a valid email. One account per email. Keep your credentials confidential and notify us immediately of any unauthorized use. You are responsible for activity under your account except where caused by our breach of these Terms.
Age. You must be at least 18 to create an account. If you are under 18, you may only use the Services with the involvement and consent of a parent or guardian who holds the account.
One user per account. Do not share or transfer your account. We may close or reclaim usernames that are inactive or infringe rights.
Payment method. For paid offerings you must provide a valid payment method.
Closing your account. You may close your account at any time from your settings or by contacting us.
Instructors
If you create, upload, or submit instructional content such as courses, lectures, articles, or training materials on the Navalapp platform, you are considered an “Instructor.” In addition to these Platform Terms, the Instructor Agreement applies to your activities as an Instructor. The Instructor Agreement sets out our respective rights and obligations regarding intellectual property, compensation, quality standards, and confidentiality.
Navalapp may also enter into separate written agreements with individual Instructors for specific collaborations or projects. In the event of any inconsistency between these Platform Terms, the Instructor Agreement, and such a separate written agreement, the latter will prevail for the matters it expressly covers.
Changes to the Services
We may improve, add, modify, or remove features or functionality of the Services at any time in order to maintain or enhance performance, security, reliability, or user experience; to comply with law or regulatory requirements; to reflect changes in our offerings or business priorities; to address third-party dependencies; or to test and introduce new functionality. When reasonably possible and if a change materially affects your use of the Services, we will provide advance notice. If we discontinue material functionality you use, we will provide at least 30 days’ prior notice when reasonably possible (not required where doing so would create security or legal risk, would be unduly burdensome, or is prohibited by law).
Membership features. Features included in a membership plan may change from time to time, including additions, removals, or modifications of features, benefits, or access rights.
Privacy & Security
Privacy. Your personal information is handled as described in our Privacy Policy and Cookies Policy.
Security. We implement administrative, technical, and physical safeguards designed to protect personal information and the platform. You acknowledge that transmitting data over the internet involves risks outside our control.
Content handling. We access and process Member Content only as described in these Terms and our Privacy Policy, including to operate, maintain, secure, support, market, promote, and improve the Services, comply with law, enforce these Terms, and address support requests.
Security issues. You may confidentially report security vulnerabilities to security@navalapp.com.
Your Responsibilities
Lawful use. You will use the Services in compliance with law and our Acceptable Use Policy.
Your Content & rights. You must have the rights necessary to upload or use Member Content and are responsible for it (including obtaining permissions for third-party materials). Do not post content that infringes others’ rights or violates law.
Instructors & creators. If you submit courses, articles, or other materials for publication, distribution, or display through the Services, you represent that you have the rights and any qualifications necessary to provide them; you’ll maintain appropriate quality standards; and you’ll not circumvent the Services (e.g., framing or unauthorized distribution). You may not solicit or store students’ personal data outside the platform. You’ll use student data only to provide services within Navalapp and in accordance with our Privacy Policy and applicable law.
Academic integrity. You agree to participate in courses, assessments, assignments, projects, and evaluations honestly and in good faith. You will not engage in cheating, plagiarism, impersonation, unauthorized collaboration, use of prohibited materials or tools during assessments, or any conduct intended to obtain unearned credit or advantage. You will not share, publish, or distribute exam questions, assignment solutions, assessment materials, or any content intended for evaluation. Navalapp may restrict, revoke, or deny certificates, course credit, assessment outcomes, or platform access at any time if we determine that academic integrity has been violated. Instructors may report suspected misconduct, and Navalapp may investigate and take appropriate action consistent with these Terms and applicable program rules.
Misrepresentation & False Information. You agree not to provide false, misleading, or incomplete information when using the Services, including when creating an account, applying for discounts, accessing restricted offerings, or submitting documentation (such as proof of student status, professional credentials, or eligibility information). If we reasonably believe that you have provided false or misleading information or submitted falsified or altered documents, we may take appropriate action, including denying eligibility, revoking benefits, suspending or terminating your account, and cancelling access to the Services, without refund where permitted by law.
Backups. You are responsible for retaining copies of your own content. We provide reasonable safeguards but do not guarantee content preservation.
Fees, Billing & Refunds
Billing. Fees for memberships, courses, or other paid features are shown at checkout and are billed in advance of access (monthly or annually, where offered). You authorize us to charge your payment method for renewals and any applicable taxes.
Price changes. We may change prices prospectively with at least 30 days’ notice for renewing terms.
Taxes. Fees are exclusive of VAT and similar taxes, which may be charged where applicable.
Refunds. Unless stated otherwise at purchase: (i) payments are non-refundable; (ii) cancel before your renewal date to avoid future charges; (iii) course purchases are non-refundable once streaming or downloads begin. Nothing in these Terms affects any mandatory statutory rights you may have under applicable consumer-protection law (for example, withdrawal rights for certain distance contracts). Where such rights apply, we will comply with them.
Free Plans, Trials & Betas
We may offer free plans, trials, previews, or beta features (“No-Charge Products”). These are provided “as is,” may be changed or discontinued at any time, and may have limited or no support. No service level commitments apply to No-Charge Products. To the maximum extent permitted by law, we disclaim all liability arising out of or relating to any No-Charge Products. Where such disclaimer is not permitted, our total aggregate liability for all No-Charge Products will not exceed €1 in total, regardless of the number of users or claims.
Suspension & Termination
Suspension. We may suspend access immediately if: (a) your use risks security, platform integrity, or legal exposure; (b) you materially breach these Terms or fail to pay; or (c) we are required by law. Fees may continue to accrue during suspension except to the extent the suspension is solely due to our error or breach of these Terms.
Termination by you. You may terminate by closing your account. This does not affect amounts already due.
Termination by us. We may terminate on 30 days’ notice for convenience, or immediately for cause (including but not limited to non-payment, persistent or material breach, unlawful activity, loss of a critical third-party license, or compliance with a legal requirement). After termination, your rights end and certain sections continue as stated below.
Inactivity and Account Closure
To maintain an active and focused community, Navalapp may close and delete accounts that have been inactive (no logins to the Services) for more than twelve (12) consecutive months. Where required by law, we will provide reasonable advance notice before closing an inactive account. Unsubscribing from marketing or newsletter communications alone does not close your account and will not, by itself, trigger deletion of your account.
You may also request account closure at any time in accordance with these Terms and our Privacy Policy.
Once an account (and associated data) has been deleted, it cannot be recovered.
Intellectual Property
Your Content
You retain ownership of Member Content. You grant Navalapp a worldwide, royalty-free license to host, process, store, reproduce, display, transmit, and otherwise use Member Content solely as necessary to operate, maintain, secure, support, market, promote, and improve the Services, to comply with law, and to enforce these Terms. Where we use Member Content for marketing, promotion, or educational purposes, we will remove or anonymize personal information unless you have agreed to be identified.
Submitted Content from Instructors/Creators
If you submit courses, articles, or other materials to the Services for publication, distribution, or display through the Services as an Instructor or other creator, you grant Navalapp, unless otherwise agreed in writing, the rights necessary to host, reproduce, store, display, transmit, adapt for technical or accessibility purposes, market, promote, deliver, distribute, and otherwise make that content available through the Services and in connection with promoting Navalapp, the Services, and related offerings, where permitted by applicable law. This includes the right to add captions, transcripts, translations, formatting changes, and similar technical or accessibility adjustments that do not materially alter the substance of the content, as well as the right to use titles, descriptions, excerpts, thumbnails, previews, screenshots, and similar portions for promotional, discovery, and marketing purposes. Navalapp may exercise these rights through its affiliates, service providers, hosting providers, and distribution partners solely as necessary to operate, support, market, provide, or distribute the Services.
If you remove submitted content or stop making it available, the removal will apply prospectively only, unless applicable law requires otherwise. Any licenses already granted to enrolled users or other authorized users before removal may continue, and Navalapp may retain limited copies for archival, backup, compliance, security, evidentiary, record-keeping, and previously created marketing or promotional purposes, unless otherwise agreed in writing or required by law.
Service IP
The Services, including the platform, website, applications, software, functionality, design, layout, text, graphics, branding, trademarks, logos, and all related intellectual property rights, are owned by Navalapp or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, Navalapp grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose in accordance with your Membership Level and these Terms. No ownership rights are transferred to you, and no rights are granted except those expressly stated in these Terms.
Suggestions
If you provide feedback, ideas, suggestions, recommendations, or proposed improvements relating to the Services, Navalapp may use, disclose, reproduce, modify, license, transfer, and otherwise exploit them without restriction and without any obligation, payment, or attribution to you.
Licenses & Use Restrictions
Content Access License
Your Membership Level (subscription, purchase, or renewal) determines the scope, features, and price of your access to the Services. By enrolling in a course or subscribing to a plan, and upon payment of all required fees, Navalapp grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and view the relevant content through the Services for your personal, non-commercial, educational use, subject to these Terms and any additional conditions stated at purchase.
Unless Navalapp expressly enables a download feature for specific items, you may not download, copy, record, redistribute, transmit, sell, rent, lend, sublicense, publicly display, or otherwise exploit course content or materials made available through the Services.
Use of What You Learn
These Terms restrict the use of course content and materials made available through the Services, not the general knowledge, skills, experience, or know-how you gain through them. You may use what you learn in your personal and professional activities, including employment, consulting, design, engineering, research, analysis, and other commercial services, provided that you do not copy, reproduce, distribute, commercialize, or otherwise exploit the course content or materials themselves except as expressly permitted by Navalapp in writing.
Use Restrictions on Course Materials
Except where Navalapp expressly permits otherwise in writing, you may not use any course content or materials made available through the Services, including videos, texts, lectures, slides, articles, templates, models, drawings, spreadsheets, datasets, source files, downloads, assessments, examples, or other instructional materials, to:
(a) train, fine-tune, evaluate, use as a data source for, or otherwise develop any artificial intelligence or machine learning model, system, agent, or dataset;
(b) create, commercialize, distribute, license, or sell any product, service, course, toolkit, dataset, or other offering derived from or substantially based on such content or materials; or
(c) create or assist in creating any competing educational or training content that reproduces or substantially relies on the structure, expression, materials, or presentation of the original course content.
Downloaded Materials
Where Navalapp expressly enables downloads for specific items, those materials are provided only for your personal, non-commercial, educational use unless additional written terms expressly state otherwise. Availability of a download feature does not grant any ownership rights or any right to redistribute, commercialize, train AI systems on, or create derivative products or services from the downloaded materials.
Course Availability
Navalapp may update, replace, suspend, or discontinue courses or related materials at any time, including because content has become outdated, an instructor becomes unavailable, legal or regulatory requirements change, or technical or economic circumstances require it. Where reasonably possible, Navalapp will provide advance notice of material discontinuations so that affected users may complete the course and obtain any applicable certificate of completion. After the discontinuation date, access to the affected course and its materials may end. Unless required by applicable law or expressly stated otherwise at purchase, course discontinuation does not entitle you to a refund.
Access Restrictions and Revocation
Navalapp may restrict, suspend, or revoke access to any content or feature if required by law, regulation, court order, third-party rights, these Terms, the Acceptable Use Policy, other applicable policies, or technical necessity, or if Navalapp reasonably believes the Services are being misused, including in cases of account sharing, bulk downloading, infringement, or other violations of these Terms or the Acceptable Use Policy. Where offered, “lifetime access” refers to access to the course content itself for so long as Navalapp continues to make that content available on the Services. It does not guarantee availability of ancillary features, support, instructor interaction, community features, or any particular platform functionality, all of which may be modified or withdrawn at any time.
Instructor Availability
Instructor interaction, including Q&A, mentoring, feedback, or other participation, may vary over time and is not guaranteed unless expressly stated otherwise in writing. Navalapp may modify, reduce, or discontinue instructor participation or related features at any time.
Restrictions
You will not, and will not permit, assist, or enable any third party to:
(a) copy, modify, adapt, translate, or create derivative works of the Services themselves;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or trade secrets from the Services, except to the extent such restriction is prohibited by applicable law;
(c) bypass, disable, interfere with, or circumvent any security feature, access control, technical protection measure, usage limit, or fee mechanism of the Services;
(d) resell, sublicense, distribute, lease, or otherwise make the Services available to third parties except as expressly authorized by Navalapp in writing;
(e) remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notice;
(f) use the Services or any course content or materials to build, train, support, or improve any competing educational, training, informational, or AI-enabled product, platform, service, model, agent, or dataset;
(g) publicly disclose, benchmark, or publish performance tests or evaluations of the Services without Navalapp’s prior written consent; or
(h) assist, encourage, or enable any other person to do any of the foregoing.
Use of Navalapp marks, trade names, logos, or branding requires Navalapp’s prior written consent unless expressly permitted by law.
Certificates & Recognition
Navalapp may issue certificates of completion, certificates of achievement, or similar recognitions for certain eligible courses, programs, learning paths, assessments, or other activities. These are intended to recognize successful participation, completion, or demonstrated achievement within the Navalapp platform and may help learners showcase their knowledge, support professional development, facilitate career advancement or transition, and demonstrate continuing learning.
Unless expressly stated otherwise, Navalapp certificates or other recognitions do not by themselves confer academic credit, professional licensure, regulatory approval, or other formal qualification. The recognition or acceptance of any certificate or other recognition by employers, educational institutions, classification societies, regulators, or professional organizations may vary depending on their own criteria and policies.
Where a course, program, or learning path includes official credits, approved continuing education recognition, endorsement, or other formal recognition from a third-party organization, institution, or professional body, this will be expressly identified in the relevant course or program description or other applicable materials.
Disclaimers & Limitation of Liability
Disclaimers. The Services (including No-Charge Products) are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant uninterrupted, secure, or error-free operation.
No professional advice. Content on the Services is provided for general educational and informational purposes only and does not constitute professional, engineering, safety, classification, or regulatory advice, certification, or a substitute for independent technical judgment. Navalapp does not guarantee that any content, models, calculations, examples, or methodologies are suitable for any particular real-world application. You are solely responsible for verifying the accuracy, applicability, and compliance of any information or materials for your specific projects and for consulting qualified professionals where appropriate. Navalapp disclaims all liability arising from the use or misuse of any such content.
Course models and technical examples. Any models, files, calculations, spreadsheets, datasets, or other technical examples provided through the Services are intended solely as illustrative learning materials. They have not been reviewed, tested, or approved for real-world engineering, safety, stability, aerodynamics, hydrodynamics, performance, regulatory, structural, or construction purposes. If you nevertheless choose to apply any such materials in real-world projects, you acknowledge that you do so entirely at your own discretion and risk. You remain solely responsible for all verification, validation, compliance checks, and professional assessments required for safe and lawful use. Navalapp, its instructors, affiliates, and licensors disclaim all liability for any direct or indirect loss, damage, or consequences arising from such use.
Limitation. To the maximum extent permitted by law, Navalapp and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, goodwill, data, or business interruption. Our aggregate liability for claims arising out of or relating to the Services will not exceed the amount you paid to Navalapp for the Service giving rise to the claim during the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification. To the extent permitted by applicable law, you will defend, indemnify, and hold harmless Navalapp and its affiliates, and their respective directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Member Content you upload or provide; (b) your violation of these Terms or the Acceptable Use Policy; or (c) your infringement or misappropriation of any third-party rights.
Changes to these Terms
We may update these Terms to reflect changes in our practices or applicable law. We will post updates here and, where required, provide notice (e.g., email, in-product message). Changes take effect when posted or, where notice is required, as stated in the notice. If you continue using the Services after the effective date, you accept the updated Terms. If you do not agree, you must stop using the Services and close your account.
Miscellaneous
Governing law & venue. These Terms are governed by Finnish law. Courts in Helsinki, Finland, have exclusive jurisdiction.
Order of precedence. If there is a conflict between these Platform Terms and any other Navalapp terms or policies that apply to the Services (including the Acceptable Use Policy, Privacy Policy, Cookies Policy, and any applicable Instructor Agreement or separate written agreement), the order of precedence will be:
(1) any separate written agreement for the matters it expressly covers;
(2) the Instructor Agreement for your activities as an Instructor; and
(3) these Platform Terms and incorporated policies.
To the extent a document higher in this order of precedence does not address a particular matter, the next document in the hierarchy will govern that matter.
Electronic communications. We may communicate with you electronically (email, in-product notices, or posting on our site). Such communications satisfy legal writing requirements unless mandatory law requires another form.
Assignment. You may not assign these Terms without our consent. We may assign to an affiliate, in a reorganization, or as part of a merger or asset transfer.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
Independent contractors. The parties are independent contractors.
Severability; no waiver. If a provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver.
Entire agreement. These Terms incorporate referenced policies (e.g., Privacy, Cookies, Acceptable Use, Instructor Agreement where applicable) and form the entire agreement for the Services, superseding prior understandings on this subject.
Publicity (B2B only). We may identify your organization as a Navalapp customer; you can opt out by emailing privacy@navalapp.com.
Export & sanctions compliance. You agree to comply with all applicable export, re-export, and sanctions laws and regulations of Finland, the European Union, the United States, and other relevant jurisdictions. You may not access or use the Services in, or for the benefit of, any country or person subject to trade sanctions or other restrictions. If you become subject to such restrictions, you must notify Navalapp without undue delay. Navalapp may suspend or terminate access to the Services where required by applicable law or government order.
Definitions
Acceptable Use Policy means the policy at https://navalapp.com/legal/acceptable-use-policy/.
Member Content (also “Your Content”) means content that members or organizations upload, submit, or process through the Services (e.g., files, videos, images, text, assignments, designs) and outputs derived from it. It excludes Account Information.
No-Charge Products means free plans, trials, previews, or beta features made available at no charge.
Platform Terms means these Terms plus policies referenced herein.
Privacy Policy means the policy at https://navalapp.com/legal/privacy-policy/.
Cookies Policy means the policy at https://navalapp.com/legal/cookies-policy/.
Submitted Content means courses, articles, or other materials submitted by instructors or other creators for publication, distribution, or display via the Services.
